Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using any IMAST 360 service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, you must not access or use our services.

2. Description of Services

IMAST 360 is an integrated business management platform comprising the following products:

• LoyaltyBoard — Customer loyalty program management
• Distribution+ — Distribution network and channel management
• Sales Track — Sales force automation and performance tracking
• LeadSprint — Lead management and conversion optimization
• TrueView — Business intelligence, analytics, and reporting

IMAST may add, modify, or discontinue features within these products with reasonable notice to customers. Core functionality changes will be communicated at least 30 days in advance.

3. Account Registration and Responsibilities

To use IMAST 360, you must register for an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account, whether authorized by you or not
• Promptly notifying IMAST of any unauthorized access or security breach at security@imast.in
• Ensuring that all users within your organization comply with these Terms

You must be at least 18 years of age to create an account. IMAST reserves the right to refuse service, terminate accounts, or cancel orders at our sole discretion.

4. Subscription Plans and Billing

IMAST 360 is offered on a subscription basis with monthly and annual billing cycles. By subscribing, you agree to the following:

• Fees are charged in advance based on the selected plan and billing cycle
• Annual subscriptions are billed as a single upfront payment and are non-refundable except as required by applicable law
• IMAST may revise pricing with at least 30 days' notice before the start of your next billing cycle
• Failure to pay invoices within 15 days of the due date may result in service suspension
• All prices are exclusive of applicable taxes (GST, etc.), which will be added to your invoice

5. Acceptable Use

You agree to use IMAST 360 only for lawful business purposes and in compliance with all applicable laws and regulations. You shall not:

• Use the services to store, transmit, or distribute malicious software or harmful content
• Attempt to gain unauthorized access to any part of the platform, other accounts, or connected systems
• Reverse engineer, decompile, or disassemble any part of the IMAST software
• Use the services to send spam or unsolicited communications (see our Anti-Spam Policy)
• Resell, sublicense, or share your account access with third parties without written consent from IMAST
• Interfere with or disrupt the integrity or performance of the services

6. Intellectual Property

The IMAST 360 platform, including all software, design, text, graphics, interfaces, and underlying technology, is the exclusive property of IMAST Operations Private Limited and is protected by Indian and international intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the platform for your internal business purposes during the subscription term.

You retain full ownership of all data, content, and materials you upload to or create within the IMAST 360 platform ("Customer Data"). IMAST does not claim any ownership rights over Customer Data.

7. Data Ownership and Portability

Your data belongs to you. IMAST processes Customer Data solely to provide and improve the services as described in our Privacy Policy. We will never sell, rent, or share your data with third parties for their own commercial purposes.

• You may export your data at any time through the platform's built-in export tools in standard formats (CSV, JSON, PDF)
• Upon account termination, you will have 30 days to export your data before it is permanently deleted from our systems
• IMAST will provide reasonable assistance for bulk data exports upon request

8. Service Availability

IMAST targets a 99.9% uptime Service Level Agreement (SLA) for the IMAST 360 platform, measured on a monthly basis. This excludes scheduled maintenance windows, which are communicated at least 48 hours in advance and are typically performed during off-peak hours (IST 00:00–06:00).

In the event that IMAST fails to meet the 99.9% SLA in any given month, eligible customers on Enterprise plans may request service credits in accordance with the SLA terms outlined in their service agreement.

9. Limitation of Liability

To the maximum extent permitted by applicable law, IMAST's total aggregate liability for any claims arising out of or related to these Terms or the services shall not exceed the total fees paid by you to IMAST during the twelve (12) months immediately preceding the event giving rise to the claim.

In no event shall IMAST be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of whether such damages were foreseeable or whether IMAST was advised of the possibility of such damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless IMAST, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the services in violation of these Terms; (b) your violation of any applicable law or regulation; (c) your infringement of any third-party intellectual property or other rights; or (d) any Customer Data you upload or process through the platform.

11. Termination

Either party may terminate these Terms as follows:

• By you: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.
• By IMAST for cause: IMAST may suspend or terminate your account immediately if you breach these Terms, fail to pay fees, or engage in activity that threatens the security or integrity of the platform.
• By IMAST for convenience: IMAST may terminate your subscription with 90 days' written notice, providing a pro-rata refund for any prepaid unused period.

Upon termination, your right to access the services ceases immediately. You will have 30 days to export your data. After this period, IMAST will delete your data in accordance with our data retention policies.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Indore, Madhya Pradesh, India. The parties agree to attempt to resolve any dispute through good faith negotiation before pursuing formal legal proceedings.

13. Changes to Terms

IMAST reserves the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email to the address associated with your account and through a prominent notice on the IMAST 360 platform. Your continued use of the services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the services and may terminate your account.
